Client’s Obligation: The client (you) shall ensure that ROSSO MATTO Architecture (we) has the appropriate files for starting the work. You will also inform us of any changes that arise in the documentation provided as soon as possible.
Rendering Resolutions: Images are rendered at the resolution agreed with you. Changes in the resolution during the rendering process affect our schedule and ability to meet our promised time-frame and budget and need therefore to be discussed and agreed.
Proposed Design: If you don’t provide us detailed plans, elevations and sections, we create a proposed design, which is meant to be used for visual, pitching presentations or fundraising purposes only. It is not intended for planning application, construction or civil engineering design.
Payment: You agree to pay the work choosing between the following two payment options:
- 30-30-40: you pay the 30% initial deposit upon approval of the proposal; the 30% second deposit upon approval of the render/animations draft; the 40% final payment before downloading the rendering.
- 50-50: you pay the 50% initial deposit upon approval of the proposal; the 50% final payment before downloading the rendering.
The payment schedule is a breakdown of when the deliverables are met and when invoices will be released; the chosen option is confirmed during the proposal agreement phase.
If you should have any questions about either the services rendered or the amounts stated on invoices, you should notify us promptly in writing. Unless we are notified within 7 days from the date the invoice is issued, we shall regard the statement as final and undisputed.
We reserve the right to terminate the contract should you fail to pay in a timely manner. In the event that we are required to institute any action for collection of our fees and costs, you will also be responsible to pay our reasonable legal fees, expenses and court costs and for the value of our time expended in such action. You may terminate the contract at any time upon written notice to us, in which case we will provide you with the appropriate documentation upon payment of all sums due to us at the time of such termination.
Additional Services: We will notify you if the scope extends past the contract for additional work. We will issue a separate contract for Additional Services Request if required.
Termination: Once the final rendering is started, no party may cancel the service unless there are unforeseen circumstances. If we cancel the services due to unforeseen circumstances, a full refund of the amount paid thus far will be issued back to you. We also reserve the right to demand payment for the hours rendered if the services is cancelled by you prior to the completion of the service.
Ownership of the Documents: We own and retain the intellectual property in all plans, drawings, renderings, models, images and other documents produced by us in performing the services.
Intellectual Property Licence: You will have a licence to copy and use, and allow other persons providing services to you to copy and use, the renderings, images and other documents sent to you only for this specific project.
Limitation of Liability: Our liability is limited to the amount of this contract. We shall not be liable to you or any third party for any loss of profit, consequential or other economic loss suffered by you arising in any way from this agreement.
